Terms of Service

These Terms of Service ("Terms") govern access to and use of the websites, clinical data platforms, and related services provided by Global Clinical Outcomes Collaborative ("GCOC," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Eligibility and accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account unless authorized under a program operated by a healthcare organization.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.

Institutional customers may provision accounts for authorized clinicians, staff, researchers, or patients under separate agreements that may supplement these Terms.

Description of services

Our Services may include electronic health record functionality, patient-reported outcome collection, clinical workflow tools, research registries, benchmarking, analytics, and related support. Features available to you depend on your role and your organization's configuration.

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice, subject to applicable agreements with institutional customers.

Acceptable use

You agree to use the Services only for lawful purposes and in accordance with these Terms, applicable professional standards, institutional policies, and all applicable laws, including health privacy and research regulations.

You may not attempt to gain unauthorized access to the Services or related systems; interfere with security or performance; upload malicious code; scrape or harvest data except as permitted; misrepresent your identity or affiliation; or use the Services in any manner that could harm patients, users, or the integrity of clinical data.

Clinical and health information

The Services may store or process sensitive health information. You represent that you have all rights and authorizations necessary to submit information you provide, and that your use complies with HIPAA, state privacy laws, informed consent requirements, and institutional review board or research governance obligations, as applicable.

GCOC is not a healthcare provider. Clinical decisions remain the responsibility of licensed clinicians and participating institutions. Information in the Services is not a substitute for professional medical judgment or emergency care.

Intellectual property

The Services, including software, design, text, graphics, logos, and documentation, are owned by GCOC or our licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or create derivative works from the Services.

You retain ownership of content you submit, subject to the license you grant us to host, process, and display that content as needed to operate the Services and fulfill our contractual obligations.

Third-party services

The Services may integrate with or link to third-party tools, institutions, or websites. We are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that data will be preserved without loss.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GCOC AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR CLINICAL OUTCOMES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability for any claim arising out of or relating to these Terms or the Services will not exceed the greater of (a) the amount you paid us for the Services in the twelve months before the claim or (b) one hundred U.S. dollars ($100), except where such limitation is prohibited by law.

Indemnification

You agree to indemnify and hold harmless GCOC and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your content, your violation of these Terms, or your violation of applicable law or third-party rights.

Termination

We may suspend or terminate access to the Services at any time for violation of these Terms, security concerns, or as required by law or contractual obligations. You may stop using the Services at any time.

Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

Governing law

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles. Disputes will be brought in the state or federal courts located in King County, Washington, unless otherwise required by applicable law.

Changes to these terms

We may revise these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms. The "Last updated" date above indicates when these Terms were most recently revised.
